Terms of Service

1. Acceptance of Terms

By accessing or using TakeAttend (the "Platform"), you confirm that you are at least 18 years old, have read and understood these Terms of Service ("Terms"), and agree to be bound by them.

If you are using the Platform on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not use the Platform.

2. What We Provide

TakeAttend is a digital platform that helps organizations create events, manage a roster of attendees, and record accurate attendance - either through staff check-in or self check-in by QR code or public link.

We provide the technology; organizers and their staff are responsible for the accuracy of the organization, event, and attendee information they add to the Platform.

We do not guarantee the accuracy of event details or attendance figures entered by organizers, staff, or attendees, and we are not a party to any arrangement between an organization and the people who attend its events.

3. Accounts

3.1 Registration

You must create an account to create or manage an organization, add events, or access a staff dashboard. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

3.2 Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorised access to your account.

3.3 One account per person

You may not create more than one account per individual. Creating multiple accounts to circumvent bans or restrictions is prohibited and will result in permanent suspension.

3.4 Account types & roles

Every account on TakeAttend registers as an organizer. Organizers can create one or more organizations and invite staff to help manage them. Within an organization, each staff member is assigned one of three roles - Admin, Staff, or Read-only - which determines what they may view or change, including event management, the attendee roster, and the organization's structure.

4. Organizations & Events

4.1 Accuracy

When you create an organization, add an event, or add someone to an attendee roster, you represent that the information you provide - event details, attendee names and contact details, and any grouping such as Stakes/Wards or your own custom tiers - is accurate and not misleading.

4.2 Authority

You represent that you have authority to create and manage the organization you register, and to add and manage the events, staff, and attendees under it.

4.3 Removal

We may remove an event, restrict an organization, or suspend an account that violates these Terms, appears fraudulent, or misuses attendee data.

4.4 Fees

Core features are currently free. We may introduce paid plans for additional features in the future, with reasonable notice before any charges apply. Where payments are collected, they are processed by a third-party payment processor - we do not store your full card details on our servers.

5. Attendee Check-In

Organizers and their staff may add attendees to an event roster directly, or make an event available for self check-in through a QR code or public link. Self check-in only requires a first and last name - no account is required to check in to an event.

Organizers are responsible for how they collect, group, and use attendee information within their organization - for example, grouping attendees by unit/subunit, recording membership status, or noting dependents.

We are not responsible for the accuracy of information entered by organizers, staff, or attendees, or for decisions an organization makes based on its roster or check-in data.

6. Prohibited Conduct

You must not:

• Submit false, misleading, or fraudulent event or attendee information
• Impersonate any person, organization, or entity
• Add attendees to a roster or collect attendee data without a lawful basis or the necessary permission to do so
• Use the Platform for fraud or any other illegal activity
• Scrape, crawl, or systematically extract roster or attendee data from the Platform without our written permission
• Attempt to gain unauthorised access to any part of the Platform, another organization's dashboard, or another user's account
• Harass, abuse, or threaten other users or attendees
• Upload content that is defamatory, obscene, or infringes any third-party rights
• Use the Platform to send unsolicited communications (spam)
• Create multiple accounts to circumvent suspension or bans
• Interfere with or disrupt the Platform's infrastructure, servers, or networks

Violation of these prohibitions may result in immediate account suspension or termination, and we may report illegal conduct to the appropriate authorities.

7. Intellectual Property

The TakeAttend name, logo, design, code, and all Platform content created by us are owned by us and protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without our prior written permission.

You retain ownership of any content you submit to the Platform - such as your profile photo, organization and event details, and attendee roster data - subject to a non-exclusive licence you grant us to host, display, and process it as needed to operate the Platform for you and your organization.

8. Disclaimers

The Platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any event, attendee, or check-in data, whether entered by an organizer, staff member, or attendee.

Attendance records are only as accurate as the information entered by organizers, staff, and attendees. We strongly recommend organizers verify critical attendance data independently before relying on it for official, compliance, or payroll purposes.

9. Limitation of Liability

To the fullest extent permitted by law, TakeAttend and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform.

Our total aggregate liability to you for any claim arising out of or in connection with these Terms or the Platform shall not exceed the amount you paid us in the twelve months preceding the claim, or ₦50,000, whichever is greater.

Nothing in these Terms excludes or limits our liability for fraud, gross negligence, wilful misconduct, or any other liability that cannot be excluded by law.

10. Termination

You may close your account at any time by contacting us. Closing your account will remove your organizations, events, and rosters from active use and from public view, subject to our data retention obligations.

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if we are required to do so by law.

Upon termination, your right to use the Platform ceases immediately. Sections 7, 8, 9, and 11 survive termination.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, where the changes are material, notify registered users by email or through a notice on the Platform.

Your continued use of the Platform after any changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and may close your account.
